These Terms & Conditions ("Terms") govern the use of the AgriSat Technologies Ltd platform, including website, mobile applications, and all related services. By using the platform, you agree to be bound by these Terms.

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Ghana for the resolution of any dispute arising out of or in connection with these Terms.

You agree to indemnify, defend, and hold harmless AgriSat Technologies Ltd, its directors, officers, employees, partners, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms
• Your infringement of any third-party right
• Content, data, or produce you submit or transact on the Platform

1.15 Third-Party Services & Integrations

The Platform may integrate with or link to third-party services, including payment processors, mobile money operators, satellite data providers, logistics partners, and financial institutions. AgriSat:

• Does not control and is not responsible for third-party services
• Is not a party to agreements between you and such providers
• Encourages you to review third-party terms and privacy policies

1.16 Force Majeure

AgriSat shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to natural disasters, adverse weather, network or power outages, satellite or telecommunications failures, government action, civil unrest, or pandemics.

1.17 Modifications to These Terms

AgriSat reserves the right to update or modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify registered users via email, SMS, or in-app notification

Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

1.18 Severability & Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

No failure or delay by AgriSat in exercising any right under these Terms shall operate as a waiver of that right.

1.19 Assignment & Entire Agreement

You may not assign or transfer your rights under these Terms without the prior written consent of AgriSat. AgriSat may assign its rights without restriction.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AgriSat regarding the Platform.
